Le(la) conseiller(ère) juridique travaille en collaboration avec la direction de l’unité d’affaires de détail et les autres dirigeants de McKesson Canada, dans divers secteurs d’activité, afin d’assurer le respect des lois locales, provinciales et fédérales applicables, ainsi que des normes internes de gouvernance, et ce, dans le but de réduire les risques juridiques et de protéger les actifs et la réputation de l’entreprise.
Le(la) conseiller(ère) juridique fournit des conseils juridiques pratiques et opportuns pour soutenir les activités commerciales et opérationnelles quotidiennes de McKesson Canada au sein de ses différentes unités d’affaires, y compris la négociation de contrats commerciaux et le soutien aux transactions corporatives et commerciales (pouvant notamment inclure, le cas échéant, des transactions de magasins et des questions immobilières connexes), sous la supervision du Directeur, Affaires juridiques.
Section A – Responsabilités spécifiques
- Fournir des conseils juridiques pratiques et opportuns relativement aux activités commerciales et opérationnelles quotidiennes de l’entreprise dans le cadre de ses activités corporatives et commerciales à l’échelle du Canada.
- Effectuer des recherches juridiques et réglementaires à l’appui des initiatives d’affaires corporatives et commerciales, pouvant notamment inclure de nouveaux programmes de pharmacie ou de détail, des services et des offres commerciales.
- Participer à la rédaction, à la révision et à la négociation d’un large éventail de contrats commerciaux et de documents transactionnels liés aux activités de McKesson Canada.
- Agir à titre de conseiller(ère) juridique dans le cadre de transactions stratégiques touchant les unités d’affaires de McKesson Canada, en collaboration avec le Directeur, Affaires juridiques et d’autres membres expérimentés de l’équipe juridique, notamment lorsque plusieurs parties prenantes et des enjeux juridiques complexes sont en cause.
- Veiller à ce que les actifs et la réputation de l’entreprise soient protégés dans le cadre de toutes les transactions et contribuer activement à l’identification et à l’atténuation des risques juridiques et réglementaires liés aux opérations de McKesson Canada, y compris les activités de détail.
- Effectuer des évaluations des risques juridiques associés aux projets et aux décisions d’affaires et opérationnelles corporatives et commerciales proposés, et collaborer avec les dirigeants d’affaires pour élaborer des stratégies appropriées d’atténuation des risques.
- Développer et maintenir une solide maîtrise de l’interprétation et de l’application des lois et règlements applicables aux activités de McKesson Canada, pouvant notamment inclure les règlements relatifs à la distribution et à la vente de produits pharmaceutiques, à l’exercice de la pharmacie et aux autres lois applicables au secteur de la santé, et demeurer à l’affût des nouveaux développements juridiques et réglementaires liés à l’industrie.
- Fournir des conseils juridiques et des mises à jour régulières à la direction sur les enjeux commerciaux, réglementaires et de conformité qui touchent les activités de McKesson Canada, y compris ceux découlant des interactions avec les autorités de réglementation.
- Participer à des initiatives et projets transversaux, notamment des analyses d’impact liées à de nouvelles lois, à de nouveaux services ou produits, ainsi qu’à des initiatives de gestion des risques pour McKesson Canada.
- Collaborer et consulter efficacement les autres fonctions corporatives (p. ex., Conformité, Protection des renseignements personnels, Immobilier, Finances, RH, Opérations) afin de soutenir la mise en œuvre des politiques de l’entreprise et des programmes de conformité au sein des unités d’affaires de McKesson Canada.
- Offrir des formations sur les enjeux juridiques, réglementaires et de conformité nouveaux ou émergents aux autres employés et, le cas échéant, aux parties prenantes d’affaires.
- Promouvoir l’utilisation des technologies numériques et des outils d’intelligence artificielle afin de créer des gains d’efficacité dans l’exécution des responsabilités juridiques et opérationnelles.

Section B : Exigences du poste
- Diplôme en droit d’une université reconnue et membre en règle du Barreau du Québec ou du Barreau de l’Ontario.
- De 3 à 5 ans d’expérience en droit des affaires / droit commercial, acquise en entreprise et/ou en cabinet privé.
- Expérience en rédaction, révision et négociation de contrats commerciaux; la familiarité avec les environnements réglementés constitue un atout.
- Capacité démontrée à offrir des conseils juridiques pratiques et à travailler de façon collaborative.
- Solides aptitudes pour l’organisation du travail, avec un bon jugement et de fortes capacités de prise de décision.
- Excellentes habiletés de communication et de relations interpersonnelles.
- Bilinguisme (français et anglais).
- Démontrer une forte aisance et curiosité à l’égard des technologies numériques, y compris la maîtrise de l’utilisation d’outils d’intelligence artificielle et l’adoption de solutions juridiques et de productivité afin de créer des gains d’efficacité.
- Professionnalisme et intégrité exemplaires.
- Une expérience en litige constitue un atout.
- Ce poste est offert en mode de travail hybride et avec une présence au bureau deux jours par semaine.
Job Summary
Legal Counsel works in collaboration with the Retail Business Unit management and other McKesson Canada business leaders across various business segments to ensure compliance with applicable local, provincial and federal laws and internal governance standards, with the goal of mitigating legal risk and safeguarding the company’s assets and reputation.
Legal Counsel provides timely and practical legal advice to support the day‑to‑day business and operational activities of McKesson Canada across its business units, including the negotiation of commercial agreements and support for corporate and business transactions (which may include, as applicable, store transactions and related real estate matters), under the guidance of the Director, Legal Affairs.
Section A – Specific Responsibilities
- Provides timely and practical legal advice as it relates to the corporation’s day‑to‑day corporate and commercial business and operational activities across Canada.
- Conducts legal and regulatory research in support of corporate and commercial business initiatives, which may include new pharmacy or retail programs, services and commercial offerings.
- Assists in the drafting, review and negotiation of a broad range of commercial agreements and transactional documents involving McKesson Canada’s businesses.
- Acts as legal advisor on strategic business transactions affecting McKesson Canada’s business units, in collaboration with the Director, Legal Affairs and other senior legal team members, including transactions involving multiple stakeholders and complex legal issues.
- Ensures that the company’s assets and reputation are protected in all transactions and actively contributes to identifying and mitigating legal and regulatory risks associated with McKesson Canada’s operations, including retail activities.
- Conducts legal risk assessments for proposed corporate and commercial business and operational decisions and collaborates with business leaders to develop appropriate risk mitigation strategies.
- Develops and maintains a strong proficiency in the interpretation and application of regulations applicable to McKesson Canada’s activities, which may include regulations related to the distribution and sale of pharmaceutical products, pharmacy practice and other laws applicable to healthcare, and remains abreast of new industry‑related regulatory and legal developments.
- Provides legal guidance and regular updates to management on commercial, regulatory and compliance issues affecting McKesson Canada’s businesses, including issues arising from interactions with regulatory authorities.
- Participates in cross‑functional initiatives and projects, such as impact assessments related to new legislation, service offerings or products, and risk‑management initiatives for McKesson Canada.
- Collaborates effectively with other corporate functions (e.g., Compliance, Privacy, Real Estate, Finance, HR, Operations) to support the implementation of company policies and compliance programs within McKesson Canada’s business units.
- Provides training on new or emerging legal, regulatory and compliance issues to other employees and, where appropriate, to business stakeholders.
- Champions the use of digital technology and AI tools to create efficiencies
- Promotes an ethical culture and acts as a role model for professional and ethical behavior
Section B – Position Requirements
- Law degree from a recognized University and member in good standing of the Quebec or Ontario Bar
- 3 to 5 years corporate/commercial experience acquired in‑house and/or in private practice
- Demonstrates strong digital and technology dexterity and curiosity including proficiency in the use of AI tools and adoption of legal and productivity solutions to create efficiencies
- Experience drafting, reviewing and negotiating commercial agreements. Familiarity with regulated environments an asset
- Proven ability to provide practical legal advice and to work collaboratively
- Strong organization skills with sound judgment and decision‑making abilities
- Effective communication and interpersonal skills
- Exemplary professionalism and integrity
- Bilingual (French and English)
- Background in litigation would be an asset
- This is a hybrid role, with in-office attendance two days per week
The incumbent of this position will provide daily support to internal and/or external clients outside Quebec and/or in the United States. Therefore, he/she must be proficient in spoken and written English. Please note that the number of positions requiring English language skills has been limited where possible.
