Section A – Responsabilités spécifiques
•Fournir des conseils juridiques pratiques et opportuns relativement aux activités commerciales et opérationnelles quotidiennes de l’entreprise dans le secteur de détail à l’échelle du Canada.
•Effectuer des recherches juridiques et réglementaires à l’appui des initiatives de l’unité d’affaires de détail, y compris les nouveaux programmes de pharmacie, services et offres commerciales.
•Participer à la rédaction, la révision et la négociation d’un large éventail de contrats commerciaux et de documents transactionnels liés aux activités de détail, pouvant notamment inclure :
•des ententes de bannière, d’adhésion et de fourniture;
•la documentation relative à l’acquisition ou à la cession de magasins;
•des baux, sous-baux et autres ententes liées à l’occupation de locaux commerciaux.
•Agir à titre de conseiller(ère) juridique dans le cadre de transactions stratégiques touchant l’unité d’affaires de détail, en collaboration avec le Directeur, Affaires juridiques et d’autres membres expérimentés de l’équipe juridique, notamment lorsque plusieurs parties prenantes et enjeux juridiques complexes sont en cause.
•Veiller à ce que les actifs et la réputation de l’entreprise soient protégés dans le cadre de toutes les transactions et contribuer activement à l’identification et à l’atténuation des risques juridiques et réglementaires liés aux opérations de détail.
•Effectuer des évaluations des risques juridiques associés aux projets et aux décisions opérationnelles de l’unité de détail et collaborer avec les partenaires d’affaires pour élaborer des
stratégies appropriées d’atténuation des risques.
•Développer et maintenir une solide maîtrise de l’interprétation et de l’application des lois et règlements relatifs à la distribution et à la vente de produits pharmaceutiques, à l’exercice de la pharmacie et aux autres règles applicables aux activités de détail, et demeurer à l’affût des nouveaux développements juridiques et réglementaires dans l’industrie.
•Fournir des conseils juridiques et des mises à jour régulières à la direction sur les enjeux commerciaux, réglementaires et de conformité qui touchent les activités de détail, y compris ceux découlant des interactions avec les autorités de réglementation.
•Participer à des initiatives et projets transversaux, notamment des analyses d’impact et des plans de mise en œuvre liés à de nouvelles lois, à de nouveaux services ou produits, ainsi qu’à des initiatives de gestion des risques pour les bannières de détail.
•Collaborer efficacement avec les autres fonctions corporatives (p. ex., Conformité, Protection des renseignements personnels, Immobilier, Finances, RH, Opérations) afin de soutenir la mise en œuvre des politiques de l’entreprise et des programmes de conformité au sein de l’unité d’affaires de détail.
•Offrir des formations sur les enjeux juridiques, réglementaires et de conformité nouveaux ou émergents aux employés et, le cas échéant, aux parties prenantes des activités de détail.
•Surveiller le respect par l’entreprise des politiques administratives, des règles, des règlements et des lois applicables et soutenir une culture d’éthique et de conduite des affaires responsable en tout temps.
•Faire preuve de la plus grande intégrité, en conformité avec les principes I2CARE et ILEAD, et agir comme modèle de professionnalisme et de comportement éthique.
Section B : Exigences du poste
•Diplôme en droit et membre en règle du Barreau du Québec ou du Barreau de l’Ontario
De 5 à 8 ans d’expérience en droit des affaires / droit commercial, acquise en entreprise et/ou en cabinet privé; une expérience dans les secteurs de la santé ou du détail et une bonne connaissance des environnements réglementés constituent des atouts importants.
•Expérience en rédaction, révision et négociation de contrats commerciaux; une exposition aux transactions de magasins et/ou à la documentation immobilière commerciale liée aux activités de détail constitue un atout.
•Capacité démontrée à offrir des conseils juridiques axés sur les besoins d’affaires et à évoluer efficacement dans un environnement caractérisé par des enjeux juridiques et réglementaires de plus en plus complexes.
•Excellentes aptitudes pour l’organisation du travail, le jugement et la prise de décision, ainsi que capacité de gérer plusieurs dossiers et priorités dans un environnement dynamique.
•Excellentes habiletés de communication et de relations interpersonnelles, permettant d’entretenir de bonnes relations de travail avec tous les niveaux de l’organisation et au sein de divers secteurs d’activités et régions géographiques (Québec et reste du Canada).
•Capacité à travailler de façon collaborative dans un environnement transversal et à influencer le processus décisionnel en formulant des recommandations juridiques claires et pragmatiques.
•Bilinguisme (français et anglais), avec d’excellentes habiletés de communication écrite et orale dans les deux langues.
•Aisance avec l’utilisation des technologies et des outils d’IA, y compris des outils juridiques et de productivité tels que Copilot et Spellbook, dans le respect des politiques internes et des exigences de confidentialité.
•Grand professionnalisme et intégrité, en cohérence avec les valeurs corporatives et les normes éthiques de l’entreprise.

Job Summary
Chief Legal Counsel works in collaboration with the Retail Business Unit management and other McKesson Canada business leaders, including independently owned pharmacies across Canada, to ensure compliance with applicable local, provincial and federal laws and internal governance standards, with the goal of mitigating legal risk and safeguarding the company’s assets and reputation. Chief Legal Counsel provides timely and practical legal advice to support the day‑to‑day business and operational activities of the retail banners across Canada, including the negotiation of commercial agreements and support for store transactions and related real estate matters, under the guidance of the Director, Legal Affairs.
Section A – Specific Responsibilities
•Provides timely and practical legal advice as it relates to the corporation’s day‑to‑day retail business and operational activities across Canada.
•Conducts legal and regulatory research in support of retail business initiatives, including new pharmacy programs, services and commercial offerings.
•Assists in the drafting, review and negotiation of a broad range of commercial agreements and transactional documents involving the retail businesses, which may include:
•banner, member and supplier agreements;
•store acquisition and divestiture documentation; and
•leases, subleases and other real estate‑related agreements.
•Acts as legal advisor on strategic business transactions affecting the retail business unit, in collaboration with the Director, Legal Affairs and other senior legal team members, including transactions involving multiple stakeholders and complex legal issues.Ensures that the company’s assets and reputation are protected in all transactions and actively contributes to identifying and mitigating legal and regulatory risks associated with retail operations.
•Conducts legal risk assessments for proposed retail business and operational decisions and collaborates with business leaders to develop appropriate risk mitigation strategies.
•Develops and maintains a strong proficiency in the interpretation and application of regulations related to the distribution and sale of pharmaceutical products, pharmacy practice and other laws applicable to retail operations, and remains abreast of new industry‑related regulatory and legal developments.
•Provides legal guidance and regular updates to management on commercial, regulatory and compliance issues affecting the retail businesses, including issues arising from interactions with regulatory authorities.
•Participates in cross‑functional initiatives and projects, such as impact assessments related to new legislation, service offerings or products, and risk‑management initiatives for the retail banners.
•Collaborates effectively with other corporate functions (e.g., Compliance, Privacy, Real Estate, Finance, HR, Operations) to support the implementation of company policies and compliance
programs within the retail business unit.
•Provides training on new or emerging legal, regulatory and compliance issues to other employees and, where appropriate, to retail business stakeholders.
•Monitors company compliance with legal and administrative policies, rules, regulations and laws, and supports a culture of ethical business conduct at all times.
•Demonstrates the highest integrity consistent with I2CARE and ILEAD principles and acts as a role model for professional and ethical behavior.
Section B – Position Requirements
•University law degree and member in good standing of the Quebec or Ontario Bar (membership in another Canadian bar an asset).
•5 to 8 years corporate/commercial experience acquired in-house and/or in private practice; experience in the health or retail sectors and familiarity with regulated environments are strong assets.
•Experience in drafting, reviewing and negotiating commercial agreements; exposure to store transactions and/or commercial real estate documentation related to retail operations is an
asset.
•Proven ability to provide business-focused legal advice and to work effectively in an environment with increasingly complex legal and regulatory challenges.
•Strong work-organization skills with sound judgment and decision-making abilities, capable of managing multiple files and priorities in a fast-paced environment.
•Effective communication and interpersonal skills, with the ability to maintain strong working relationships with all levels of the organization and across various business segments and geographic regions (Quebec and Rest of Canada).
•Ability to work collaboratively in a cross-functional environment and to influence the decision-making process through clear and practical legal recommendations.
•Bilingual (French and English), combined with excellent communication skills, both written and oral.
•Proficiency in using technology and AI tools, including legal and productivity solutions such as Copilot and Spellbook, while adhering to internal policies and confidentiality requirements. •High degree of professionalism and integrity, aligned with corporate values and ethical standards.
•Proficiency in MS Office – Word, Excel and PowerPoint.
The incumbent of this position will provide daily support to internal and/or external clients outside Quebec and/or in the United States.
