The Principal M&A Analyst Enterprise Applications is responsible for the assessment, planning and execution of enterprise application initiatives supporting technology due diligence, integration planning, and integration cost estimation activities for mergers, acquisitions, divestitures, and strategic business initiatives.

Reporting to the VP, MT M&A this role serves as the primary Enterprise Applications representative within M&A transactions and partners closely with Enterprise Applications Service Area leaders, Enterprise Architecture, Infrastructure, Cybersecurity, and Business Unit IT teams, and acts as a trusted advisor to Corporate Development stakeholders to evaluate application landscapes, identify integration requirements and strategy, assess risks, and develop cost estimates.

The role requires broad knowledge of enterprise application architectures, business process alignment, data migration considerations, integration patterns, and large-scale SaaS implementation and transformation programs.

The successful candidate will be comfortable operating in highly dynamic and ambiguous environments, translating incomplete information into practical recommendations and estimates that support executive decision-making and deal value realization. The role requires a high degree of discretion, as it will be privy to non-public information that must not be disclosed to tower leaders, while still engaging them for high-level input to inform planning.

What You'll Do

M&A Due Diligence & Application Assessment

• Lead enterprise application due diligence activities for acquisitions, divestitures, and strategic transactions.
• Assess target application portfolios, architecture, integrations, business process alignment, and technology dependencies.
• Evaluate application complexity, technical debt, support models, licensing considerations, vendor dependencies, and integration risks.
• Identify application rationalization, consolidation, modernization, and synergy opportunities.
• Document findings and recommendations for inclusion in due diligence reports and executive readouts.

Integration Strategy & Planning

• Develop high level application integration and migration strategies aligned to business objectives and enterprise standards.
• Define target-state application approaches for acquired organizations.
• Support development of Day 1, Employee Day 1, and Initial Integration plans.
• Facilitate discovery and planning workshops with business stakeholders, application owners, architects, and service area SMEs.
• Develop transition roadmaps, implementation sequencing, and dependency management plans.

Cost Modeling & Financial Analysis

• Develop application integration cost estimates and financial models to support transaction evaluations and integration planning.
• Build cost estimates for:
  • Microsoft 365 tenant migrations
  • Workday implementations and tenant consolidation
  • SAP ECC and SAP S/4HANA migrations
  • CRM transitions
  • Data migration and application decommissioning activities
  • Integration platform and middleware implementations
• Collaborate with service area SMEs, vendors, and implementation partners to develop realistic estimates, assumptions, timelines, and resource requirements.
• Document risks, dependencies, confidence levels, and alternative implementation scenarios.

Enterprise Applications Domain Leadership

• Provide expertise across enterprise application architectures and integration patterns.
• Demonstrate broad understanding of:
  • ERP platforms (SAP ECC and SAP S/4HANA)
  • Productivity and Collaboration platforms (Microsoft 365)
  • HCM and HRIS systems (Workday)
  • ITSM platforms (ServiceNow)
  • CRM platforms (Salesforce)
  • Contact Center solutions (Five 9s)
  • Middleware and integration technologies
  • Identity and access integrations
  • Data migration and master data management concepts
• Assess application interoperability, data dependencies, and impacts to business operations.
• Partner with Enterprise Architecture to align integration strategies with technology standards and future-state roadmaps.

Cross-Functional Collaboration

• Identify and engage the appropriate application teams, architects, business analysts, product owners, and SMEs required for each transaction.
• Coordinate activities across Enterprise Applications, Infrastructure, Cloud, Cybersecurity, Data & AI, Enterprise Architecture, and Business Unit organizations.
• Facilitate decision-making and alignment on integration assumptions, migration strategies, timelines, and resource requirements.
• Build strong relationships across matrixed teams to drive successful transaction outcomes.

Delivery Excellence

• Manage multiple concurrent diligence while balancing competing priorities and aggressive timelines.
• Ensure quality, consistency, and completeness of application-related deliverables.
• Contribute to the continuous improvement of M&A delivery methodologies, application assessment frameworks, integration planning templates, and estimation models.
• Continuously improve playbooks and processes for Due Diligence, identifying and incorporating lessons learned and best practices to improve future transaction outcomes.

Basic Requirements

• 13+ years of professional experience, including 8+ years in Enterprise Applications, ERP platforms, Solution Architecture, Digital Transformation, or IT Program Delivery.
• Bachelor's degree in Information Technology, Computer Science, Business, Finance, Engineering, or a related field.
• Experience conducting technology due diligence and technology risk assessments for mergers and acquisitions.
• Experience presenting complex technology recommendations, cost models and business impacts to senior executives.
• Demonstrated success leading large-scale, cross-functional initiatives in complex enterprise environments.

Preferred Skills/Experience

• MBA or other advanced degree.
• Experience in healthcare, pharmaceutical, distribution, supply chain, or other highly regulated industries.
• Experience evaluating cloud environments, data platforms, cybersecurity controls, and digital transformation initiatives during M&A transactions.
• Knowledge of financial modeling, synergy planning, valuation support, and business case development.
• Expertise in portfolio optimization, demand management, and strategic investment planning.
• Experience with enterprise portfolio management tools and data-driven decision-making frameworks.
• Strong change management and organizational transformation experience.
• Experience leading global or multi-business-unit integrations.
• Broad understanding of:
  • Enterprise application architecture principles
  • Enterprise integrations and middleware
  • Data migration methodologies
  • Identity and access integrations
